This sounds like a poison pill arrangement to me. But I think Sears could make a bundle quickly now if they were to break it up into 100,000 subsidiaries and sell them as spin-offs via an outsourced contract with Nigerian intermediaries that have a ream of Ivory Coast e-mail addresses with instructions to note each spin-off will include Jacques Chirac.
